Terms of Service

These Terms of Service ("Terms") govern access to and use of Sanly (the "Service"), operated by Sanmisha Technologies Pvt Ltd ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Sanly is a WhatsApp Business messaging platform that helps businesses manage conversations, templates, broadcasts, chatbot flows, contacts, and analytics using the official Meta WhatsApp Cloud API. Features may change as we improve the product.

2. Accounts and Eligibility

  • You must provide accurate account information and keep credentials confidential.
  • You are responsible for all activity under your account and authorized users.
  • The Service is intended for business and professional use, not personal consumer messaging as an end user of WhatsApp.

3. Acceptable Use

You agree not to:

  • Violate applicable laws, including spam, privacy, and telecommunications regulations.
  • Violate Meta's WhatsApp Business / Cloud API terms, commerce, or messaging policies (including prohibited content and opt-in requirements).
  • Attempt to reverse engineer, disrupt, or gain unauthorized access to the Service or related systems.
  • Misrepresent affiliation with Meta, WhatsApp, or any third party.
  • Upload malicious content or use the Service to harm others.

4. WhatsApp / Meta Relationship

Sanlyis an independent product and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or WhatsApp. WhatsApp is a trademark of Meta Platforms, Inc. You must maintain a valid WhatsApp Business Account and comply with Meta's terms. Message delivery depends on Meta's platforms and policies; we are not responsible for Meta outages, policy enforcement, template rejections, or account restrictions imposed by Meta.

5. Customer Content and Data

You retain ownership of content and data you submit to the Service (contacts, messages, templates, media, and configurations). You grant us a limited license to host, process, and transmit that data solely to provide and improve the Service. You represent that you have all rights and consents needed to use and share such data with us and Meta.

6. Fees

Paid plans, if any, are agreed separately. WhatsApp conversation and messaging fees charged by Meta are your responsibility unless otherwise agreed in writing. Failure to pay applicable fees may result in suspension of access.

7. Intellectual Property

The Service, including software, design, and branding (other than your content), is owned by us or our licensors. These Terms do not grant you rights to our trademarks or those of Meta/WhatsApp beyond ordinary descriptive reference.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

10. Suspension and Termination

We may suspend or terminate access if you breach these Terms, if required by Meta or law, or if continued operation poses risk to the Service or others. You may stop using the Service at any time. Provisions that by their nature should survive (including ownership, disclaimers, and limitations) will survive termination.

11. Changes

We may update these Terms by posting a revised version on this page. Continued use after the effective date constitutes acceptance. If you do not agree, discontinue use of the Service.
